Terms of Use
The agreement between us and your school. Written to be read — if a clause here needs a lawyer to decode, that is our failure rather than your problem.
Who this is between
These terms govern use of the School Techy platform — the web application, the mobile apps, the API and the public website. They form a contract between School Techy ("we", "us") and the institution that subscribes ("the school", "you").
Creating an account, starting a trial or paying an invoice means accepting them. If you are accepting on behalf of a school or trust, you confirm you are authorised to bind it.
They work alongside three other documents, which form part of this agreement: the Privacy Policy, the Data Processing Agreement and the Acceptable Use Policy. Where a signed order form or master agreement says something different, that document wins.
Accounts and who is responsible for them
Your school controls who has an account and what each of them can reach. That control is real — permissions are enforced in the database query rather than by hiding menu items — which means the configuration is genuinely yours and so are its consequences.
- Keep credentials private. Accounts are for one named person. Shared logins destroy the audit trail, which is the thing that answers "who changed this mark?" six months later.
- Tell us about a compromise promptly so we can help contain it.
- Enable two-factor authentication for anyone who can see fees, staff records or student data at scale. It is available on every plan.
- Remove people who leave. A departed clerk with a live login is the most common real-world breach in this sector, and it is entirely within your control.
- You are responsible for what your users do in the platform, including what they upload and what they send to parents.
We may suspend an individual account, without notice, where we reasonably believe it has been compromised or is being used to attack the service. We will tell you why.
Fees, billing and renewal
- Trial. 14 days, no card required. At the end of it the workspace either converts to a paid subscription or stops. Trial data is retained for 30 days after expiry so a late decision does not cost you the setup work.
- Billing. Subscriptions are billed in advance, monthly or annually, at the plan and student count on your account. Prices are exclusive of GST, which is added at the applicable rate and shown separately on the tax invoice.
- Growing mid-term. If your student count passes the plan's limit, the difference is charged pro-rata from the date it happens. We do not switch a school off for crossing a threshold during admissions.
- Add-ons. Charged before they are activated: pro-rata for the remaining term on a recurring add-on, in full for a one-off.
- Renewal. Subscriptions renew automatically for the same term unless cancelled before the renewal date. We give at least 30 days' notice of a price change, and it takes effect at your next renewal, never mid-term.
- Late payment. An unpaid invoice moves through a defined sequence — due, grace, then suspension — with notice at each step. Suspension freezes access; it does not delete data.
- Pass-through costs. SMS credits, WhatsApp conversation charges and payment-gateway percentages are levied by those providers. Where you connect your own gateway account, the merchant relationship and the settlement are yours.
Subscription fees are non-refundable. The 14-day free trial is the evaluation period, and it is deliberately the whole product rather than a limited demo. Cancellation stops the next renewal; it does not refund the term already paid for. The Cancellation Policy sets this out in full.
Your data is yours
Everything your school puts into the platform — student records, ledgers, marks, documents, messages — remains the school's property. We claim no ownership over it and acquire no licence to it beyond what is needed to operate the service for you.
Export is a right, not a favour. You can export students, guardians, the full fee ledger, attendance, marks and documents in open formats, from inside the product, on every plan, at any time, without asking us and without a fee. We regard a vendor that charges for this, or routes it through a support ticket, as setting a switching cost on purpose.
Our obligations as a processor of that data — purposes, sub-processors, security, breach notification, deletion — are set out in the Data Processing Agreement.
The software itself, its design and its documentation remain ours. A subscription grants your school a non-exclusive, non-transferable right to use it for the term. It does not permit copying, reselling, reverse engineering, or building a competing product from it.
Feedback. Tell us the product is wrong and we may act on it, without owing you anything for the idea. This is not us claiming your intellectual property; it is us being able to fix a shared complaint without a licence negotiation.
Availability, support and change
Availability. We target 99.5% monthly uptime, excluding scheduled maintenance and events outside our control. Maintenance is announced in advance and scheduled outside Indian school hours wherever the work allows.
We are not going to pretend this is a 99.99% platform with a financially backed SLA. If your procurement requires one, say so early and we will tell you honestly whether we can meet it rather than discovering it at signature.
Support. Via email and in-app, in business hours, on every plan. Response targets by plan are on the pricing page. We will tell you when something is a defect and when it is working as designed but designed badly — both get fixed, on different timescales.
Change. The product improves continuously and features change. We will not remove a capability your school depends on without notice and a route forward. Where a change is material, subscribing schools are told in advance.
Third-party services. Payment gateways, SMS operators, WhatsApp providers and government portals are outside our control. We integrate carefully and report failures honestly, but we cannot warrant their availability or their decisions.
How the platform may be used
In short: run your school with it. The full list of prohibitions is in the Acceptable Use Policy, and the headline ones are these.
- Do not use it to send unlawful, harassing or misleading messages to parents or staff, or to send bulk marketing to people who never gave you their number.
- Do not upload malware, or content you have no right to hold.
- Do not attempt to reach another school's workspace, probe for vulnerabilities without written permission, or bypass rate limits.
- Do not resell, sublicense or white-label the platform without a partner agreement.
- Do not use it to build a competing product.
Responsible disclosure. If you find a security flaw, tell us at support@schooltechy.com. We will not pursue anyone who reports a genuine finding in good faith, does not access data beyond what is needed to demonstrate it, and gives us a reasonable chance to fix it.
Warranties and liability
We warrant that the service will perform materially as described in our documentation, and that we will provide it with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided as-is: we do not warrant that it will be uninterrupted or free of defects, because no software of this size is.
What we do not do. We compute payroll statutory deductions, GST and TDS, and produce the reports your accountant needs. We do not file your returns, and we do not certify your compliance. The accuracy of what you file remains yours. A vendor implying otherwise is transferring a risk it cannot carry.
Cap. Neither party is liable for indirect or consequential loss, or for loss of profit, goodwill or anticipated savings. Our total liability in any twelve-month period is limited to the fees you paid us in that period.
Nothing here limits liability that cannot lawfully be limited — including for fraud, or for death or personal injury caused by negligence.
The one exclusion worth reading twice. We are not liable for data loss where you were able to export your data and did not. Export is free, unlimited and available at any time; that is the whole point of making it so.
Ending the agreement
You may cancel at any time, effective at the end of the paid term, with no exit fee and no charge for taking your data with you. Fees already paid are not refunded — see the Cancellation Policy.
We may terminate for material breach that is not remedied within 30 days of written notice, for non-payment that has run the full dunning sequence, or immediately where use of the platform is unlawful or endangers other schools.
What happens then. Access ends. Your workspace is retained for 30 days so an export is still possible, and is then permanently purged. Invoices and GST records are kept for the period Indian tax law requires. On request within those 30 days we will provide a full export.
Clauses that are meant to outlive the agreement do: data ownership, confidentiality, liability, and anything accrued before termination.
The rest
Confidentiality. Each side protects the other's non-public information and uses it only for this agreement.
Changes to these terms. We update the date at the top. Material changes are notified to subscribing schools by email at least 30 days before they take effect. Continuing to use the platform after that is acceptance; if you object, you may cancel before the change applies.
Assignment. Neither side may assign this agreement without the other's consent, except to a successor of substantially the whole business, in which case notice is given.
Force majeure. Neither side is liable for failure caused by events genuinely outside its control.
Severability. If a clause is unenforceable the rest stands.
Governing law. These terms are governed by the laws of India, and the courts at Jaipur, Rajasthan have exclusive jurisdiction. Before litigating, both sides agree to give the other 30 days' written notice and a genuine attempt to resolve it.
